END USER LICENSE AGREEMENT

End User License Terms:

1. SINGLE COPY media LICENSE: This media is copyrighted and protected by law and international treaty. You may download this media through a web browser or copy it from Exis approved distributed media

onto a single computer for use in the creation of one released software product, unless specifically licensed to do otherwise by Exis Inc. This is a license, not a transfer of title, and you may not

(a)create derivative works based on this media for retail sale or distribution by any means other than as provided by this argreement;



(b) transfer this media or the documentation in whole or in part to another person without Exis Inc's permission;



(c) remove any copyright or other Exis Inc proprietary notices;



(d) transfer this media to another person. You agree to prevent any copying of this media that you download for your use from the Exis Exchange or any other officially sanctioned web site.


2. OWNERSHIP: This media and all Exis Inc information is proprietary material of Exis Inc and except as provided for by this argreement, may not be copied, reproduced, published, uploaded, posted, transmitted, or distributed in any way, without Exis Inc's prior written permission. Except as expressly provided herein, Exis Inc and its suppliers do not grant any express or implied right to you under any patents, copyrights, trademarks, or trade secret information of Exis Inc or its suppliers.

3. TERMINATION OF THIS LICENSE: Exis Inc may terminate this license at any time if you are in breach of the terms and conditions of use. Upon such termination you must and agree to immediately destroy all copies of this media and all of its accompanying documentation. Please note that this does not mean you must remove it from a released product.

4. DISCLAIMER AND WARRANTY: Exis Inc provides the products related to this agreement "AS IS" without warranty of any kind. Exis Inc makes no warranties either express or implied in conjunction with any content published at the Exis Exchange. Should the media prove defective in any respect, the licensee not the licensor or its suppliers or resellers assumes the entire cost of any service and repair.

5. CHOICE OF LAW: This agreement will be governed by the laws of the State of Maryland, U.S.A., excluding its conflict of law provisions. Unless otherwise agreed in writing, all disputes relating to this

Agreement shall be subject to final and binding arbitration in Baltimore County, Maryland, with the losing party paying all costs of arbitration.
